Terms of Service

These Terms of Service (the "Terms") set forth the conditions for using CueFlow (the "Service") provided by llcheesell Inc. ("we", "us", or "our").

1. Scope

These Terms apply to the CueFlow application, website, license management, AI features, support, updates, download distribution, and other related services.

2. Public Beta and License Application

Publicly distributed CueFlow builds are provided as public beta versions before the official release. Even if a build is available for download on the website, using the Service requires approval of an application and issuance of a license key or trial conditions by us.

Public beta versions may contain bugs, specification changes, feature limitations, risks of data loss, compatibility changes, or service interruptions. During the beta period, we may change features, pricing, availability, usage limits, data formats, and support scope.

3. License

Users may use the Service in accordance with licenses, trial conditions, or separately agreed contract terms issued by us. License keys, activation tokens, and authentication credentials may not be transferred, lent, shared, sold, or disclosed to third parties.

Users must provide accurate information when applying and may use the Service only for themselves or within an approved organization.

We may suspend, revoke, reissue, or restrict licenses in cases of abuse, breach of contract, non-payment, security necessity, or operational necessity.

4. User Content and AI Features

Users represent that they have obtained the necessary rights, permissions, and consents for audio, lyrics, scripts, images, project files, and other materials entered, uploaded, imported, or stored in the Service.

The Service may provide features that use Anthropic, OpenAI, Music.ai, and other external AI services. Outputs from AI features are not guaranteed to be accurate, complete, lawful, or fit for a particular purpose.

If entering unreleased audio, third-party personal information, confidential information, copyrighted works, lyrics, scripts, or similar materials into AI features, users are responsible for confirming legality, contract terms, and internal rules.

Users are responsible for backing up their project files and related materials.

6. Fees, Subscriptions, and AI Credits

When using paid features, users shall pay the fees specified by us. Final fees, taxes, payment methods, subscription periods, cancellation terms, and related conditions will be determined by us before the official release and are governed by the application screen, invoice, agreement, or other terms presented by us.

The AI subscription is a plan for charging or granting CueFlow-specific AI credits. AI credits are consumed when AI features are used, including song analysis, transcription, stem separation, lyric and section analysis, and external AI processing.

The AI subscription does not guarantee a fixed number of songs, fixed number of analyses, or fixed processing volume. Credit grants, consumption amounts, conversion rates, and usage limits may change depending on song length, processing type, selected models, external API provider pricing, exchange rates, infrastructure costs, and provider specification changes.

We may implement credit balance display, consumption history, additional top-ups, limit management, and other credit-charging features in the Service or on the website. Detailed terms, expiration, carryover, and refund availability for such credits will follow the conditions displayed at implementation or purchase.

Except where required by law, paid fees, unused credits, and unused portions of a subscription period may not be refunded, prorated, or exchanged for cash.

Payments may be processed through external payment providers such as Stripe. Payment information is handled under the terms and privacy policy of the relevant payment provider.

7. Updates and Support

We may provide updates for feature improvements, security measures, license management, and compatibility maintenance. Updates may change features, screens, file formats, system requirements, and AI processing behavior.

Support scope, response time, support methods, and fix timing for public beta versions are not guaranteed.

8. Intellectual Property

Intellectual property rights related to the Service, software, website, documentation, logos, designs, and other related materials belong to us or the rightful owners. Rights in materials entered or stored by users in the Service remain with the users or the rightful owners.

9. Disclaimer and Termination

We do not guarantee that the Service will fit a user's particular purpose, always be available, be error-free, avoid data loss, or produce AI outputs that are accurate or lawful.

If a user violates these Terms, is suspected of abuse, poses a security concern, has payment issues, or if necessary for Service operations, we may suspend or terminate all or part of the Service without prior notice.

10. Changes to These Terms

We may change these Terms in accordance with procedures required by applicable law. For material changes, we will notify users through the website, in-app notices, email, or other appropriate methods. If a user continues to use the Service after a change, the user is deemed to have agreed to the changed Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any dispute relating to the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over our principal office as the court of first instance.
